TMS Bylaws: Article XI. Amendments and Petitions



Section 1.
Proposals to amend these Bylaws may be made by twenty-five (25) members by submitting the proposals in writing to the Board of Directors. Proposals for amendments may also be made by a majority vote of the Board of Directors. Such proposals shall be published in the JOM as soon as they are prepared. Publication shall include appropriate discussion and a ballot on which members may vote. If it is deemed advisable by the Board of Directors, such proposals may be submitted to the membership in the form of a letter, in lieu of publication, within 120 days after their receipt. The majority of votes cast by the membership in favor of a proposal shall determine its adoption.

Section 2.
Proposals to change the decisions, policies or procedures of the Board of Directors shall be made to it in writing and signed by at least twenty-five (25) members. Such proposals, unless acceptable to the Board of Directors or withdrawn within thirty (30) days, shall be published with discussion and a ballot in the next issue of JOM. If it is deemed advisable by the Board of Directors, such proposals may be submitted to the membership in the form of a letter ballot, in lieu of publication, within 120 days after their receipt. The majority of votes cast by the membership in favor of a proposal shall determine its adoption.
